Professional Services Disclaimer
The basis on which information here is provided, when a client relationship begins, and our regulatory position.
1. Information here is general
Everything on this website is written in general terms. It is not advice on any particular set of circumstances and must not be relied on as such.
Financial, tax, governance, valuation and transaction outcomes turn on facts specific to each client, and on law that changes. Before acting on anything you read here, obtain advice addressed to your own situation.
2. When a client relationship begins
Reading this website, sending us an enquiry, or speaking to us at an initial meeting does not make you a client.
We act only under a signed engagement letter, which sets out the scope of the work, what is excluded, who is responsible for what, the basis of our fees, and the limits of our liability. Until that letter is in place we owe you no duty of care and we are not obliged to act.
3. What you send us before we are engaged
We treat enquiries as confidential and restrict access to them within the firm.
But correspondence with us before an engagement is in place does not attract legal professional privilege, and it may not be protected from disclosure. It may also turn out that we are already acting for another party with an interest in the same matter, in which case we may be unable to act for you.
For both reasons, keep your first message to what is needed for us to say whether we can help. Send detailed or sensitive material only once we have confirmed that we are able to act, and have agreed how it should be sent.
4. Our regulatory position
Pepe Advisory Limited provides financial, strategic and advisory services.
It does not carry out statutory audit or provide assurance opinions. It does not hold, control or deal in client money or client assets. It does not provide legal services or act as an advocate. It does not provide regulated investment advice, fund management, dealing or brokerage services.
Where a matter needs any of those, we say so, and we work alongside appropriately licensed professionals whom you engage directly.
5. Digital assets
Our digital asset work is advisory: structuring, governance, controls, accounting and tax treatment, and the questions a board should be asking.
We do not custody, exchange, transmit or trade virtual assets on any client's behalf, and we do not recommend particular assets or investments.
6. Pepe Advisory and Clyde and Associates
Pepe Advisory Limited and Clyde and Associates LLP are related but separate firms, with separate engagements.
Clyde and Associates provides audit, assurance, tax and accounting services. Pepe Advisory provides financial leadership and strategic advisory. Where a client needs both, each firm is engaged separately, and the independence requirements applying to assurance work are observed.
We will tell you if a matter you raise with one firm cannot be taken on because of work being done by the other.
7. No guarantee of outcomes
We do not guarantee funding, investment returns, a valuation, a transaction completing, or any particular commercial or regulatory result.
Projections, models and forecasts, whether shown here or prepared in an engagement, rest on assumptions stated at the time. Actual results will differ, and past performance is not a guide to future performance.
8. Third-party information
Where we refer to legislation, regulatory guidance, market data or other third-party material, we do so as at the date of publication, and we do not undertake to keep it current.
9. Contact
If anything here is unclear, or you want to know whether we can act on a matter, write to advisory@pepeadvisory.com or call +254 114 000 333 before sending detail.
